The Role: Internal Legal Counsel
This is a ground-floor opportunity to establish and lead the legal department for ThisWay Global. As the first Internal Legal Counsel, you will serve as a strategic advisor to the CEO and executive team, deeply involved in deal structuring and business development. Your primary focus will be navigating legal, compliance, and operational risks as the business scales across AI, HPC, software, infrastructure, and public-sector initiatives. You will own the legal function end-to-end, from drafting and negotiation to advising on risk and building scalable legal infrastructure. This role is envisioned to evolve into a broader executive leadership function focused on enterprise risk, governance, compliance, and legal strategy. Key Responsibilities
- Act as a trusted advisor to the CEO and leadership team, participating in strategic planning and deal structuring.
- Provide practical legal guidance on commercial, operational, and organizational matters, balancing risk with business objectives.
- Develop and implement scalable legal and governance processes.
- Manage the full lifecycle of commercial contracts, including SaaS agreements, data center services, vendor contracts, NDAs, and custom deal structures.
- Identify and mitigate legal and operational risks in complex commercial relationships.
- Support evolving partnerships in AI, infrastructure, software, and public-sector domains.
- Lead legal aspects of real estate transactions, including ground leases, commercial leases, land acquisition, and title review for data center development.
- Navigate university, state entity, and government procurement frameworks.
- Advise on employment law, internal policies, and organizational risk.
- Support ISO-aligned operational and compliance initiatives.
- Partner with leadership on governance, documentation, and internal controls.
- Build and maintain compliance posture for data privacy (GDPR, CCPA, HIPAA), AI/technology regulation, and employment law.
- Assess legal and compliance implications of AI and software deployments.
- Establish scalable legal processes, templates, external counsel relationships, and internal policies.
- Translate complex AI, data center, and cloud infrastructure concepts into precise legal language.
- Shape a proactive approach to enterprise risk management.
- Contribute to the organization's long-term maturity in legal and compliance.
Requirements
- Active Texas Bar License, in good standing.
- Texas residency required (remote-first role with Texas presence).
- 5ā8 years of experience in law firm and/or in-house legal roles.
- Proven ability to independently draft and negotiate complex commercial agreements (SaaS, services, vendor, NDAs).
- Experience with real estate transactions (ground leases, commercial leases, land acquisition, title review, easements).
- Experience working with Texas State agencies, higher education institutions, or public-sector environments.
- Working knowledge of GDPR, CCPA, HIPAA; ability to advise on AI/technology regulation and basic employment law.
- Ability to understand AI, data center, and cloud infrastructure concepts.
- Understanding of data privacy, PII, and security-related legal considerations.
- Ability to operate independently and provide clear guidance in evolving environments.
Preferred Qualifications / Accelerators
- Prior in-house experience at a technology, AI, data center, or deep tech company.
- Familiarity with NVIDIA's product ecosystem, hyperscaler contracting, or GPU infrastructure agreements.
- Experience with real estate transactions at a university or state-affiliated campus.
- Familiarity with ISO-aligned operational environments or compliance initiatives.
- Exposure to public-private partnerships or higher education collaborations.
- Background in equity compensation, early-stage company governance, or startup legal operations.
- Experience supporting fast-scaling or startup environments.
- Existing relationships with Texas-based outside counsel.
