Job Description

Responsibilities (How we will measure success)

  • This role can be structured as either full-time or part-time (3 days per week).
  • Apply legal expertise to manage legal work and associated risks across the business.
  • Provide timely, sound, and practical legal advice to senior management and business teams.
  • Act as a key member of the IQ-EQ business in Australia and New Zealand, collaborating with global legal teams across various regions (US, UK, Ireland & Crown Dependencies, Continental Europe).
  • Collaborate with the wider group legal team on global initiatives and best practice sharing.
  • Report to Senior Legal Counsel, APAC, with a secondary reporting line to the Australian Managing Director.

Tasks (Day-to-day activities)

  • Review, negotiate, and draft commercial contracts, including fund or loan administration agreements, trust services agreements, and employment agreements.
  • Identify, monitor, research, and resolve issues related to commercial contracts, liaising with internal stakeholders, clients, and law firms.
  • Manage and handle potential legal disputes.
  • Oversee corporate secretarial and governance matters, including preparing Board papers and coordinating Board meetings.
  • Manage the legal integration of AMAL with IQ EQ, including developing agreement templates, data privacy policies, inter-company outsourcing, and vendor engagement.
  • Support the Company Secretary in fulfilling statutory, regulatory, and corporate governance obligations, providing legal advice, assisting with board/committee documentation, and liaising with external advisors and regulators.
  • Establish the legal team’s structure and processes, including filings and databases.

Requirements

  • Australia qualified lawyer. New Zealand qualification is a plus.
  • At least 6 years of post-qualification experience, with strong expertise in fund administration and trust administration.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving abilities, with a proactive, productive, and highly independent approach.
  • Responsible and a strong team player.
