Fund Corporate Manager

About the Role

We are seeking an experienced professional to lead and mentor a team of Corporate Officers. This role is pivotal in ensuring the seamless delivery of legal, administrative, and client-specific services to our diverse clientele.

Key Responsibilities

• Team Leadership & Oversight: Coordinate and review the work of a team of Corporate Officers, managing legal, administrative, and complex client requests.
• Corporate & Legal Administration: Oversee and manage documentation for crucial corporate actions including account openings, acquisitions, board resolutions, filings, private deeds, incorporations, and liquidations.
• Client & External Relations: Cultivate and maintain strong partnerships with clients, banks, and other external stakeholders, delivering tailored, customer-centric solutions.
• Compliance & Risk Management: Ensure strict adherence to regulatory requirements by maintaining robust client files and fulfilling Know Your Customer (KYC) obligations to mitigate risk.
• Governance & Meetings: Lead board and shareholders' meetings, meticulously reviewing all related minutes, agreements, and corporate documentation.

Qualifications

• Master or Bachelor's degree.
• A minimum of 7 years of experience in Corporate, Company, or Fiscal law.
• Previous experience as a Senior Corporate Officer is highly desirable.
• Demonstrated experience in supervision or mentoring.
• Proficiency in MS Office and familiarity with relevant business software (e.g., SAP).
• Proven experience handling acquisitions of participations, board resolutions, company incorporations and liquidations, proxies, and advanced knowledge of annual reporting law.
• Knowledge of Luxembourg company law (including financial vehicles, SOPARFI, SICAR, SIF, RAIF) is a significant asset.
• Fluent in English; proficiency in an additional language is a plus.
